About the role:
We are looking for an experienced Legal Counsel to take full ownership of all legal processes within the company in the fields of IT outsourcing, outstaffing, Dedicated Team, and product development.
Main Responsibilities:
Client Contracts:
- Drafting, reviewing, negotiating, and managing contracts (outsourcing, outstaffing, dedicated team, product-related contracts).
- Managing the contract negotiation process: internal coordination and external discussions with clients.
- Ensuring compliance with international regulations (EU, US), including: GDPR, DORA, CCPA, SOX, HIPAA, etc.
- Advising on software licensing models and structuring the most beneficial conditions for the company.
- Defending the company’s interests during negotiations with clients and handling objections.
Partner and Vendor Contracts:
- Drafting and managing partnership agreements with various types of partners.
- Managing contracts with vendors: drafting, negotiation, and compliance monitoring.
- Optimizing templates and processes to increase efficiency.
Contracts with Company Personnel:
- Drafting and managing B2B contracts with contractors (current and potential).
- Providing legal support for relationships with contractors.
Interaction with Finance Function:
- Coordinating payment terms and tax clauses (VAT / Permanent Establishment risk in applicable jurisdictions).
- Supporting sanctions and export control checks of counterparties.
- Determining and agreeing on liability limits.
- Participating in matters related to opening and closing legal entities, preparation of statutory documents, and registration support.
Legal Processes:
- Developing and updating contract templates.
- Managing contract approval workflows across the company.
- Organizing contract storage.
- Monitoring contract expiration dates.
- Handling escalations and dispute resolution for all contract types.
- Managing legal proceedings in court or arbitration (e.g., non-payment, claims from counterparties).
Product Legal Support:
- Providing legal support for the company’s product portfolio.
- Participating in defining legal conditions for new solutions.
- Monitoring IT law trends and adapting processes to new regulatory requirements.
Requirements:
- 4–6 years of legal experience, including:
- Proven experience in international IT outsourcing/outstaffing companies,
- Experience in product IT companies is highly desirable (product background is a strong advantage).
- Excellent knowledge of contract and corporate law, as well as international regulations.
- Proven track record in negotiations and defending company interests.
- English proficiency at B2 (Upper-Intermediate) or higher, allowing for confident verbal and written negotiations.
- Experience with different software licensing models.
- Skills in structuring and optimizing legal processes.
- Strong communication skills, proactivity, and business-oriented mindset.
Nice-to-Have:
- Knowledge of fintech, insurtech, or other regulated industries.
- Experience with LegalTech tools implementation.
